By accessing or using Doc2iXBRL ('the Service'), you agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Doc2iXBRL. By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms.

Description of Service

Doc2iXBRL provides an AI-powered document conversion service that transforms financial reports into iXBRL format. Our Service includes:

• Document upload and processing (PDF and DOCX formats)
• AI-powered analysis and XBRL concept mapping
• iXBRL file generation with Arelle validation
• Support for Dutch GAAP (SBR) and IFRS (ESEF) taxonomies

Account Registration

To use certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

Subscription and Payment

Access to the Service requires a paid subscription. By subscribing, you agree to the following terms:

Pricing

Subscription prices are displayed on our website and are subject to change. All prices are in Euros and exclude VAT unless otherwise stated. We will provide at least 30 days notice before any price changes.

Payment Terms

Payments are processed annually in advance. Your subscription will automatically renew unless cancelled before the renewal date. Payment is due upon invoice and must be received within 14 days.

Refunds

We offer a 14-day money-back guarantee for new subscriptions. If you are not satisfied with the Service, you may request a full refund within 14 days of your initial purchase. After this period, refunds are provided at our discretion.

Acceptable Use

You agree not to use the Service to:

• Upload documents containing malware, viruses, or harmful code
• Process documents you do not have the right to use
• Attempt to gain unauthorized access to our systems
• Use the Service for any illegal or fraudulent purpose
• Resell or redistribute the Service without authorization

Intellectual Property

The Service, including its design, features, and content, is owned by Doc2iXBRL and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

The Doc2iXBRL name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Doc2iXBRL. You may not use such marks without our prior written permission.

User Content

You retain ownership of all documents and content you upload to the Service ('User Content'). We do not claim any ownership rights to your User Content.

By uploading User Content, you grant us a limited license to process, store, and transmit your content solely for the purpose of providing the Service. This license ends when you delete your content or close your account.

You are solely responsible for your User Content and represent that you have all necessary rights to upload and process it. You agree not to upload content that infringes third-party rights or violates any laws.

AI Processing Disclaimer

• AI suggestions should always be reviewed by a qualified professional before submission to regulatory authorities
• We do not guarantee the accuracy, completeness, or regulatory compliance of AI-generated mappings
• You are solely responsible for verifying and validating all output before use

Limitation of Liability

THE SERVICE IS PROVIDED 'AS IS' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOC2IXBRL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Doc2iXBRL and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

Termination

You may terminate your account at any time through your account settings or by contacting us. Upon termination, you will lose access to the Service and your data will be deleted according to our data retention policy.

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. We will provide notice where reasonably possible.

Upon termination, sections regarding intellectual property, limitation of liability, indemnification, and governing law shall survive.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands.

Dispute Resolution

Before initiating any legal proceedings, we encourage you to contact us to resolve disputes amicably. Our dispute resolution process is:

1. Contact us at contact@doc2ixbrl.com with details of your concern
2. We will acknowledge your complaint within 5 business days and work to resolve it within 30 days
3. If we cannot resolve the dispute informally, either party may proceed with formal legal proceedings

Changes to Terms

We may modify these Terms at any time. We will provide at least 30 days notice of material changes by email or through the Service. Your continued use of the Service after such notice constitutes acceptance of the modified Terms.
