Acceptance of Terms

By accessing or using Doc2iXBRL ('the Service'), you agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Ontos B.V.. By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms.

Description of Service

Doc2iXBRL is a software tool that assists users in converting financial report documents into iXBRL (Inline eXtensible Business Reporting Language) format. The Service is a conversion aid, not a filing service, accounting tool, or regulatory compliance advisor. Our Service includes:

• Upload and text extraction from PDF and DOCX financial report documents
• AI-assisted analysis that suggests possible XBRL taxonomy concept mappings for extracted financial line items, disclosure notes, management report sections, and auditor report sections
• A review interface where users can inspect, modify, correct, and approve all AI-suggested mappings before iXBRL generation
• iXBRL file generation based on user-approved mappings, with technical validation against XBRL specifications using the open-source Arelle validator
• Support for Dutch GAAP (NL Taxonomy / SBR) and IFRS (ESEF) taxonomies as published at the time of processing

The Service Does Not:

• File documents with any regulatory authority (e.g., KVK, AFM, ESMA) on your behalf
• Guarantee the correctness, completeness, or regulatory acceptance of generated iXBRL output
• Provide accounting, auditing, tax, or legal advice of any kind
• Validate the accounting correctness of the source financial report you upload
• Replace the professional judgment of qualified accountants, auditors, or XBRL specialists
• Guarantee acceptance by SBR, ESEF, or any other regulatory filing system

Professional Use

The Service is designed for use by accounting professionals, auditors, and XBRL specialists who have the expertise to evaluate and verify iXBRL output. By using the Service, you represent that you (or your organization) possess the professional qualifications necessary to review and validate the output, or that you will engage qualified professionals to do so before any regulatory submission.

Account Registration

To use certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

Pricing and Payment

The Service offers both free demo access and paid conversion credits. Certain features, usage limits, or conversion volumes may be restricted based on your account balance. By purchasing conversion credits, you agree to the following terms:

Pricing

Conversion credits are available for purchase through our website. Pricing per conversion will be published on our pricing page. All prices are in Euros and exclude VAT unless otherwise stated. We reserve the right to adjust pricing with at least 30 days notice; any credits already purchased will remain valid at the original rate.

Payment Terms

Payment is due at the time of purchasing conversion credits. Credits are added to your account balance upon successful payment and do not expire. Each conversion deducts one credit from your balance. Credits are non-transferable between accounts.

Refunds

Unused conversion credits may be refunded within 14 days of purchase, provided no conversions have been performed with the purchased credits. Once credits have been used (in whole or in part), refunds for the remaining unused credits are provided at our discretion.

Acceptable Use

You agree not to use the Service to:

• Upload documents containing malware, viruses, or harmful code
• Process documents you do not have the right to use
• Attempt to gain unauthorized access to our systems
• Use the Service for any illegal or fraudulent purpose
• Resell or redistribute the Service without authorization
• Upload documents that are not financial reports intended for iXBRL conversion (the Service is designed for annual reports, financial statements, and related regulatory filings only)

Intellectual Property

The Service, including its design, features, and content, is owned by Ontos B.V. and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

The Doc2iXBRL name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Ontos B.V.. You may not use such marks without our prior written permission.

User Content

You retain ownership of all documents and content you upload to the Service ('User Content'). We do not claim any ownership rights to your User Content.

By uploading User Content, you grant us a limited, non-exclusive license to process, store, transmit, and share your content with our sub-processors (including AI service providers and OCR processors as described in our Privacy Policy) solely for the purpose of providing the Service. This includes the right to extract text, tables, and structure from your documents, send document content to AI models for analysis and concept mapping, store intermediate and final results, and generate iXBRL output. This license ends when you delete your content or close your account.

You are solely responsible for your User Content and represent that you have all necessary rights to upload and process it. You agree not to upload content that infringes third-party rights or violates any laws.

AI Processing Disclaimer

• All AI-generated suggestions, including concept mappings, financial data extraction, and document classification, are preliminary and must be verified and approved by a qualified professional before any regulatory submission
• Doc2iXBRL makes no representation or warranty regarding the accuracy, completeness, regulatory compliance, or fitness for purpose of any AI-generated output
• You are solely and exclusively responsible for reviewing, verifying, correcting, and approving all output before use, including but not limited to: concept mappings, extracted monetary values, period contexts, dimensional qualifiers, and document structure
• Passing Arelle technical validation does not guarantee regulatory acceptance; technical validity and regulatory compliance are distinct requirements
• The AI models used by the Service are provided by third parties and may be updated or changed without notice, which may affect output quality or consistency

Limitation of Liability

THE SERVICE IS PROVIDED 'AS IS' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOC2IXBRL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Doc2iXBRL and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your submission of Service output to any regulatory authority without adequate professional review; (b) your use of the Service in violation of these Terms; (c) your User Content, including any claim that your uploaded documents infringe third-party rights; or (d) your failure to verify and validate output before use.

Termination

You may terminate your account at any time through your account settings or by contacting us. Upon termination, you will lose access to the Service and your data will be deleted according to our data retention policy.

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. We will provide notice where reasonably possible.

Upon termination, sections regarding intellectual property, limitation of liability, indemnification, and governing law shall survive.

Service Changes and Evolution

The Service, including its AI models, supported taxonomies, validation rules, and processing algorithms, is continuously improved and updated. Output generated at different times may vary even for the same input document. Taxonomy versions are tied to specific regulatory reporting periods and are updated as new versions are published by the relevant standard-setting bodies. We reserve the right to modify, update, or discontinue features of the Service at any time.

Data Processing

For customers who upload documents containing personal data of third parties (e.g., accounting firms processing client data), a Data Processing Addendum (DPA) is available upon request. Please contact contact@doc2ixbrl.com to request a DPA.

Force Majeure

Doc2iXBRL shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, government actions, third-party AI provider outages or changes, taxonomy updates by standard-setting bodies, regulatory changes, internet or telecommunications failures, power outages, or cyberattacks.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands.

Dispute Resolution

Before initiating any legal proceedings, we encourage you to contact us to resolve disputes amicably. Our dispute resolution process is:

1. Contact us at contact@doc2ixbrl.com with details of your concern
2. We will acknowledge your complaint within 5 business days and work to resolve it within 30 days
3. If we cannot resolve the dispute informally, either party may proceed with formal legal proceedings

Changes to Terms

We may modify these Terms at any time. We will provide at least 30 days notice of material changes by email or through the Service. Your continued use of the Service after such notice constitutes acceptance of the modified Terms.
